1. LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, Straight Business Integrated Ltd, its directors, officers, shareholders, employees, consultants, representatives, affiliates, successors, and assigns shall not be liable to any member, affiliate, distributor, customer, or third party for:
- Loss of profits;
- Loss of income;
- Loss of commissions;
- Loss of bonuses;
- Loss of business opportunities;
- Loss of goodwill;
- Loss of data;
- Business interruption;
- Indirect damages;
- Consequential damages;
- Incidental damages;
- Special damages;
- Punitive damages;
- Economic losses;
- Reputational losses;
- Any other financial or non-financial loss arising from participation in the Company's business..
This limitation shall apply regardless of whether the claim arises from:
- Contract;
- Negligence;
- Tort;
- Equity;
- Statute;
- Regulatory action; or
- Any other legal theory.
2. NO GUARANTEE OF EARNINGS
Members acknowledge and agree that:
- The Company does not guarantee income.
- The Company does not guarantee commissions.
- The Company does not guarantee bonuses.
- The Company does not guarantee business success.
- The Company does not guarantee financial independence.
Any income examples, testimonials, illustrations, projections, or earnings statements are provided for informational purposes only and shall not be interpreted as guarantees of future results.
Members understand that success depends upon:
- Individual effort;
- Leadership ability;
- Sales performance;
- Market conditions;
- Team-building activities;
- Business skills; and
- Other factors beyond the Company's control.
3. MEMBER ASSUMPTION OF RISK
Each member voluntarily participates in the Company's business and acknowledges that participation involves business risks.
Members assume full responsibility for:
- Their business decisions;
- Their investments;
- Their purchases;
- Their marketing activities;
- Their recruitment activities;
- Their financial commitments;
- Their tax obligations;
- Their regulatory obligations.
The Company shall not be responsible for any losses arising from such decisions.
4. INDEMNIFICATION
Each member agrees to defend, indemnify, and hold harmless Straight Business Integrated Ltd and its directors, officers, shareholders, employees, consultants, representatives, agents, successors, and assigns from and against any and all:
- Claims;
- Demands;
- Lawsuits;
- Actions;
- Proceedings;
- Liabilities;
- Damages;
- Costs;
- Expenses;
- Legal fees;
- Regulatory penalties;
Arising directly or indirectly from:
- The member's actions;
- Breach of these Terms and Conditions;
- Violation of laws;
- Misrepresentation.
- Breach of these Terms and Conditions;
- Violation of laws;
- Misrepresentation;
- Product misuse;
- Unauthorised claims;
- Defamatory statements;
- Fraudulent conduct;
- Negligence;
- Any act or omission by the member.
5. NO EMPLOYMENT OR PARTNERSHIP RELATIONSHIP
Members acknowledge that:
- They are independent contractors.
- They are not employees of the Company.
- They are not agents of the Company.
- They are not authorised representatives of the Company.
- They have no authority to bind the Company contractually or financially.
The Company shall not be responsible for:
- Personal debts of members;
- Member business expenses;
- Tax liabilities;
- Personal obligations;
- Financial commitments undertaken by members.

6.PRODUCT DISCLAIMER
The Company's healthcare and wellness products are intended to support general wellbeing.
Members shall not represent any product as:
- A cure;
- A treatment;
- A diagnosis;
- A medical prescription;
- A substitute for professional medical advice.
Customers should seek appropriate professional medical advice where necessary.
The Company shall not be liable for misuse of products contrary to official product instructions.
7. DISPUTE RESOLUTION
Any dispute arising between a member and the Company shall first be submitted in writing to the Company for internal review.
Members agree to make reasonable efforts to resolve disputes amicably before commencing any legal action.
Where permitted by law, disputes shall be subject to:
- Mediation;
- Arbitration; or
- Other alternative dispute resolution mechanisms before court proceedings are commenced.
8. SEVERABILITY
If any provision of these Terms and Conditions is determined by a court or competent authority to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.
9. SERVICE CENTRE / STOCKIST ACTIVATION POLICY
9.1 Service Centre Activation Fee
Any amount paid by an individual, business entity, member, affiliate, or distributor to Straight Business Integrated Ltd for the establishment, authorization, activation, licensing, or operation of a Service Centre, Distribution Centre, Stockist Centre, Depot, Branch Office, or any similar business outlet shall be deemed an Activation and Business Development Fee.
Such fee is paid solely for the purpose of:
- Granting approval to operate a Service Centre or Stockist Centre under the Company's business model;
- Activating the Service Centre within the Company's operational network;
- Providing access to the Company's systems, products, branding, and business support structure;
- Establishing the Service Centre as an approved business location for the promotion and distribution of Company products.
9.2 Complimentary Products
The Company may, at its sole discretion, provide products, promotional items, samples, branded materials, marketing tools, or other items to newly activated Service Centres.
The Service Centre expressly acknowledges and agrees that:
- Any products supplied upon activation are complimentary in nature;
- Such products are provided solely to assist with the initial take-off and promotion of the Service Centre;
- Such products do not constitute consideration for the activation fee paid;
- Such products shall not be interpreted as a purchase, sale, investment, equity participation, or repayment of the activation fee.
The Company reserves the absolute right to determine:
- The quantity of complimentary products supplied;
- The type of products supplied;
- The timing of supply;
- Whether any complimentary products shall be supplied at all.
9.3 Non-Refundability
All monies paid for the activation, approval, registration, licensing, authorization, establishment, renewal, or operation of a Service Centre or Stockist Centre are:
- Final;
- Non-refundable;
- Non-transferable.
No refund shall be made under any circumstances including but not limited to:
- Business underperformance;
- Low sales volume;
- Change of mind;
- Relocation;
- Closure of the Service Centre;
- Failure to meet expectations;
- Personal financial difficulties;
- Market conditions;
- Termination of membership;
- Suspension of membership;
- Regulatory changes;
- Force majeure events.
The Service Centre operator acknowledges that the activation fee is a business development expense voluntarily incurred and not a deposit, investment, loan, or refundable payment.
9.4 Independent Business Responsibility
Every Service Centre shall operate as an independent business entity and shall bear sole responsibility for:
- Business operations;
- Staff recruitment and management;
- Rent and utilities;
- Licences and permits;
- Taxes;
- Regulatory compliance;
- Marketing expenses;
- Operational expenses;
- Customer relations;
- Inventory management.
The Company shall not be liable for any loss, debt, expense, liability, damage, claim, business interruption, or financial obligation incurred by any Service Centre.
9.5 Limitation of Liability
To the fullest extent permitted by law, Straight Business Integrated Ltd shall bear no liability whatsoever to any Service Centre, Stockist, Branch Operator, Distributor, or any person acting on their behalf in respect of:
- Loss of profits;
- Loss of income;
- Loss of customers;
- Loss of business opportunity;
- Business failure;
- Operational expenses;
- Rental expenses;
- Staff salaries;
- Product spoilage;
- Regulatory actions;
- Taxes;
- Any direct, indirect, incidental, consequential, punitive, or special damages.
The Service Centre assumes all business risks associated with its operations.
9.6 Promotional Support
The Company may, from time to time and entirely at its sole discretion, provide support to Service Centres in the form of:
- Promotional materials;
- Advertising support;
- Product samples;
- Marketing campaigns;
- Training programmes;
- Business development initiatives;
- Branded merchandise;
- Educational materials.
The Company shall have no obligation to provide such support and may discontinue, modify, increase, reduce, suspend, or withdraw such support at any time without notice.
Nothing contained in these Terms shall create any entitlement, right, expectation, or guarantee that any Service Centre will receive promotional support from the Company.
9.7 Service Centre Acknowledgement
By applying for, activating, or operating a Service Centre or Stockist Centre under Straight Business Integrated Ltd, the applicant expressly acknowledges and agrees that:
- The activation fee is paid solely for activation and participation in the Company's distribution network.
- Any products supplied at activation are complimentary and provided solely to facilitate business commencement.
- The activation fee is non-refundable under all circumstances.
- The Company does not guarantee profitability, sales, customers, income, commissions, or business success.
- The Service Centre operates entirely at its own commercial risk.
- The Company shall not be liable for any losses, damages, costs, or liabilities arising from the operation of the Service Centre.
- The Company may amend, modify, suspend, or withdraw any aspect of the Service Centre programme at any time.
10. MEMBER PORTAL DEACTIVATION AND DISCIPLINARY ACTION
10.1 Right to Deactivate Member Business Portal
Straight Business Integrated Ltd reserves the absolute right, at its sole discretion, to suspend, restrict, deactivate, disable, or terminate a member's business portal, account access, virtual office, back-office privileges, commission wallet, or any other Company-provided platform where the Company receives information, complaints, reports, evidence, or reasonably believes that the member has engaged in conduct detrimental to the interests of the Company or its members.
Such conduct may include, but shall not be limited to:
- Making false, misleading, malicious, or defamatory statements against the Company.
- Making false, misleading, malicious, or defamatory statements against Company directors, management, staff, leaders, distributors, affiliates, stockists, service centres, or members.
- Spreading rumours intended to damage the reputation or operations of the Company.
- Inciting dissatisfaction, rebellion, hostility, or division among members.
- Engaging in activities that undermine Company programmes, promotions, meetings, events, or business operations.
- Harassing, threatening, intimidating, or abusing other members.
- Recruiting Company members into competing businesses in violation of Company policies.
- Publishing or distributing confidential Company information without authorization.
- Engaging in fraudulent, unethical, dishonest, or disruptive conduct.
- Using social media, electronic platforms, messaging applications, websites, blogs, or other communication channels to damage the reputation, goodwill, or business interests of the Company.
- Any other conduct which, in the reasonable opinion of the Company, may adversely affect the Company's operations, reputation, growth, stability, or member relations.
10.2 Immediate Administrative Action
The Company may take immediate action upon receipt of information concerning such conduct and shall not be obligated to wait for the conclusion of any investigation before taking protective measures.
Such measures may include:
- Temporary suspension of the member's account;
- Freezing of commissions, bonuses, incentives, rewards, or withdrawals;
- Deactivation of the member's business portal;
- Restriction of access to Company systems and events;
- Suspension of leadership privileges;
- Removal from Company communication platforms;
- Permanent termination of membership.
10.3 Investigation and Review
The Company may, but shall not be obligated to, investigate any complaint, allegation, report, or information received concerning a member.
The Company shall determine, in its sole discretion:
- The credibility of the information received;
- The appropriate disciplinary action;
- Whether reinstatement shall be granted;
- Whether earnings, bonuses, commissions, or incentives shall be forfeited.
The Company's decision shall be final and binding, subject only to any rights that cannot legally be excluded under applicable law.
10.4 Protection of Company Interests
Members acknowledge that the Company has a legitimate interest in protecting:
- Its reputation;
- Its business operations;
- Its products;
- Its leadership;
- Its distributors and affiliates;
- Its service centres and stockists;
- Its customers;
- Its confidential information; and
- Its business network.
Accordingly, members agree that the Company may take any reasonable administrative, disciplinary, legal, or operational action necessary to safeguard these interests.
10.5 Member Acknowledgement
By registering with Straight Business Integrated Ltd, every member expressly agrees that:
- Membership is a privilege and not a right.
- Access to the Company's business portal, commission system, and business platforms may be suspended or withdrawn by the Company where necessary to protect its interests.
- The Company reserves the right to deactivate any member's portal where there is evidence, reasonable suspicion, or credible information of conduct harmful to the Company or its members.
- The Company shall not be liable for any loss of commissions, bonuses, incentives, business opportunities, or other losses arising from such suspension, deactivation, or termination, to the fullest extent permitted by applicable law.
11. ENTIRE AGREEMENT
These Terms and Conditions, together with all Company policies, procedures, compensation plans, codes of conduct, and official communications, constitute the entire agreement between the Company and the member.
No verbal statement, representation, promise, or assurance made by any individual shall alter these Terms unless expressly approved in writing by the Company.
12. FINAL ACKNOWLEDGEMENT AND WAIVER
By registering as a member, affiliate, distributor, or independent marketing partner of Straight Business Integrated Ltd, I acknowledge that:
- I have read and understood all Company policies.
- I participate voluntarily and at my own risk.
- I release the Company from liability to the fullest extent permitted by law.
- I agree that the Company shall not be liable for any direct or indirect losses arising from my participation in the business.
- I agree to comply with all current and future Company policies and procedures.
- I understand that violation of Company policies may result in suspension, account freezing, withholding of commissions, termination of membership, or legal action where appropriate.
